The shareholders’ meeting is the highest decision-making unit of the Company. The Board of Directors, chaired by the Chairman, is responsible for formulating the Company’s business strategies and guiding principles to strengthen overall operational efficiency and execution. Medigen has also established functional committees to ensure the effective implementation of key matters, including compensation and company auditing. Furthermore, to safeguard shareholders’ rights and strengthen the functions of the Board, Medigen has appointed a Corporate Governance Officer. The main responsibilities of this role include: handling matters related to the convening of Board and shareholders’ meetings in accordance with the law; preparing meeting minutes for the Board and shareholders’ meetings; assisting directors and supervisors with onboarding and ongoing professional development; providing directors with the information necessary for business execution; and assisting directors in complying with relevant laws and regulations.
